Terms of Service

Effective: May 1, 2026

These Terms of Service ("Terms") form a binding agreement between you and Walker Capital Management LLC ("ExCap," "we," "us," or "our") governing your use of the ExCap mobile-web application and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding contract to use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms, in which case "you" refers to that business.

2. The Service

ExCap is a receipt-capture and expense-organization tool. You can photograph or upload receipts; we use machine-learning services to extract structured data, propose a tax category, and store the results in your account for review and export. We may modify, add, remove, or stop offering features at any time, and we will use reasonable efforts to provide notice of material changes.

3. Account Registration and Security

You must register an account using a valid email address and a password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@walkercapitalmanagement.com if you suspect unauthorized access.

4. Subscriptions, Billing, and Cancellation

4.1 Free and Pro Plans

The Service offers a Free plan with usage limits and a paid Pro plan. Current pricing is displayed inside the Service before you subscribe. As of the effective date above, Pro is offered at $9.99 USD per month or $99.99 USD per year.

4.2 Auto-Renewal Authorization

Pro subscriptions automatically renew at the then-current price and frequency until you cancel. By subscribing, you authorize us, through our payment processor Stripe, to charge your payment method on file at the start of each billing period. If your payment method fails, we may attempt to charge it again and may suspend or downgrade your account.

4.3 Cancellation

You may cancel at any time from Settings → Manage subscription, which opens Stripe's billing portal. Cancellation takes effect at the end of the current paid period; you will continue to have access to Pro features until that date and will not be billed again.

4.4 Refunds

Subscription fees are non-refundable except where required by law. For partial-month or partial-year refund requests, contact support@walkercapitalmanagement.com and we will evaluate in good faith.

4.5 Price Changes

We may change Pro pricing in the future. We will provide at least thirty (30) days' notice before any change applies to your existing subscription. Continued use of the Service after a price change constitutes acceptance.

4.6 Taxes

Listed prices are in U.S. dollars and exclusive of applicable taxes. Where required, we (or our payment processor) will collect and remit applicable sales, use, or value-added tax.

5. Your Content and License

You retain ownership of the receipt images and data you upload ("Your Content"). You grant ExCap a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, and display Your Content solely as necessary to provide and improve the Service, including by sending receipt images to third-party machine-learning providers for OCR and categorization as described in our Privacy Policy.

You represent and warrant that you own or have the necessary rights to upload Your Content, and that doing so does not violate any law or third-party right.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law;
  • Upload content that is infringing, defamatory, fraudulent, or unlawful;
  • Attempt to access another user's account, data, or infrastructure;
  • Probe, scan, or test the vulnerability of the Service, or breach its security or authentication measures;
  • Use automated means (other than the Service's own export tools) to scrape, copy, or download data from the Service;
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service;
  • Resell, sublicense, or otherwise commercially exploit the Service without our express written permission;
  • Upload viruses, malware, or other harmful code.

7. No Tax, Legal, or Financial Advice

ExCap is a record-keeping tool. ExCap does not provide tax, legal, accounting, or financial advice. Categorizations, summaries, and outputs produced by the Service are suggestions generated by automated systems and may be incorrect or incomplete. You are solely responsible for verifying the accuracy of all data, classifications, and exports before using them for tax filing, audit response, or any other purpose. You should consult a qualified professional regarding your specific tax or financial situation.

8. OCR and Auto-Categorization Accuracy

The Service relies on third-party machine-learning models to extract receipt data and propose categories. These models are imperfect and will make errors. You acknowledge that you are responsible for reviewing and correcting extracted data before relying on it.

9. Service Availability

We strive for high availability but do not guarantee that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We may suspend the Service for maintenance, security, or operational reasons.

10. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is owned by Walker Capital Management LLC or its licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

11. Termination

You may terminate your account at any time by emailing support@walkercapitalmanagement.com. We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, if your use poses a security or legal risk, or if required by law. Upon termination, your right to access the Service ends. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) shall survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCAP, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Walker Capital Management LLC and its officers, employees, contractors, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms or any law, or (d) your violation of any third-party right.

15. Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws provisions. The exclusive venue for any dispute not subject to arbitration shall be the state or federal courts located in Lee County, Mississippi, and you and we consent to the personal jurisdiction of those courts.

16. Dispute Resolution; Arbitration; Class-Action Waiver

Please read this section carefully. You and ExCap agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may bring a small-claims action in a court of competent jurisdiction. You and ExCap waive the right to a jury trial and the right to participate in a class action or class-arbitration proceeding. The arbitration will take place in Lee County, Mississippi, or by remote means. Either party may seek injunctive or equitable relief in court to protect intellectual property rights pending arbitration.

You may opt out of this arbitration agreement by emailing support@walkercapitalmanagement.com within thirty (30) days of first accepting these Terms with the subject line "Arbitration Opt-Out."

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ExCap regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
